Your shares can be registered in an account in bearer form, in a managed registration account or in an issuer registration account.

Your shares are registered with Edenred and deposited in an account with the Issuers of Société Générale as its custodian, as appointed by Edenred. There are no custodian fees for you to pay.

Managed registration account:
Your shares are deposited in an account managed by a financial intermediary of your choice and you ask him to register them with Edenred. You enjoy the same advantages as with the issuer registration account, except that the custodian fees are no longer free.

If your shares are registered, you will receive an automated message directly with all of the information on the Group’s activities: notification of attendance at the shareholders’ meeting with admission card request forms, postal proxy or option voting forms, and document request forms.
You are also invited to participate in the meetings organised by New Services in the regions and in Paris. Finally, each share registered with the same shareholder for over two years has double voting rights.
If you want to keep your New Services shares in a Stock Savings Plan (SSP), you can register them and enjoy the benefits linked to this registration, except for free custodian fees, which will be the fees applied by your intermediary to your SSP. Make sure this registration does not entail any additional management fees charged by your intermediary.
Sending your orders to Société Générale
Your orders must be sent by post, fax, Internet or telephone (see contact details above) and, in the case of a purchase, your account must be credited with an amount corresponding to 50% of the sum total of your order. If this is not the case, you must enclose a cheque.
For all sales transactions, your shares are transferred to the bearer immediately and at no extra charge. Every order is sent to the market within two hours at most. Your will then receive a “conformation note”, confirming that your order has been received, and we recommend you keep this note. You can also track your orders online at Nominet (see below).
Société Générale does not currently offer a deferred payment service for registered shares.
Société Générale transaction fees apply as follows:
- 0.60% excl. VAT for transactions of less than EUR 75,000, with a minimum of EUR 9 per order
- 0.50% excl. VAT for transactions from EUR 75,000 to EUR 150,000
- 0.40% excl. VAT for transactions above EUR 150,000
Please note that since 1 January 2007 Société Générale no longer applies VAT to commission fees, and that stock exchange taxes will be deleted from 1 January 2008.

Taxation associated with the demerger
In the event of disposal of Edenred shares attributed on 2 July 2010, the capital gain from the Edenred shares will be calculated based on a fiscal cost equal to 11.40 euros.
This capital gain will be taxable in accordance with the fiscal provisions in force and your personal situation in the year of disposal.
